Membership Terms & Conditions

These Terms & Conditions (“Terms”) govern participation in the Goldstar Members Only program (“Membership”). By enrolling, you agree to the following:

1. Membership Eligibility

Membership is available to:

• Customers purchasing ATMs or processing services through Goldstar.

• Non-contract customers seeking access to Membership benefits.

2. Membership Fees & Renewal

2.1 Customers (Not Under Contract)

• Initial Fee: $285 (due at enrollment).

• Renewal Fee: $285 annually, billed automatically by credit card.

• Note: This option is designed for customers not under contract but who wish to access Membership benefits, particularly prior to purchasing multiple ATMs.

2.2 New Clients (Under Contract)

• Setup Fee: $285 (one-time, due at enrollment).

• Annual Renewal: $99/year.

• Note: The $285 setup fee is not charged again after the first year.

2.3 Current Goldstar Clients

• Setup Fee: Waived ($0).

• Annual Renewal: $49/year.

• Founders Launch Offer (14-Day Enrollment Window): Clients who enroll during this promotional period will have their renewal fee waived and enjoy complimentary Membership for as long as Goldstar chooses to honor this benefit.

3. Payment Authorization

All fees are payable by credit card and will be automatically charged on the anniversary of enrollment unless canceled in accordance with Section 4.

4. Cancellation Policy

• Membership may be canceled at any time by providing written notice to Goldstar.

• Fees already paid are non-refundable.

• Upon cancellation, Membership benefits will terminate immediately.

5. Modification of Terms

Goldstar reserves the right to modify Membership fees, benefits, or Terms at any time. Any changes will be communicated in writing or posted on the official website. Clients enrolled under the Founders Launch Offer will retain complimentary Membership unless otherwise notified.

6. Limitation of Liability

Goldstar shall not be liable for any indirect, incidental, or consequential damages arising out of Membership participation. Membership benefits are offered as-is, without guarantee of specific results.

7. Governing Law

These Terms shall be governed by and construed under the laws of the State of Oregon.

Acknowledgment

By enrolling in Membership, you acknowledge that you have read, understood, and agreed to these Terms.

Definitions

For purposes of these Terms & Conditions, the following definitions apply:

1. Customer

   • A “Customer” is any individual or business entity that has not entered into a formal contract with Goldstar for ATM ownership, leasing, or processing services.

   • Customers may still access Membership benefits by paying the Customer Membership Fee as outlined in Section 2.1.

   • Customers remain responsible for all annual renewal fees unless they subsequently become a Client through execution of a service or purchase agreement with Goldstar.

2. Client

   • A “Client” is any individual or business entity that has executed a formal contract with Goldstar for the purchase, lease, or processing of an ATM.

   • Clients are eligible for reduced Membership renewal fees, as outlined in Section 2.2 and Section 2.3.

   • Current Clients who enroll during the Founders Launch period may also qualify for complimentary Membership under the Founders Launch Offer.

3. Membership Participant

   • A “Membership Participant” refers collectively to both Customers and Clients who have enrolled in the Goldstar Members Only program, regardless of status.
